Terms of the casali-energy.com website and General Terms of Sale for business customers. Effective from the date of publication.

Part A. Website and account

§ 1. Who runs the website

The website casali-energy.com (the “Website”) is operated by c.a.s.a.l.i. s.r.o., registered office Teslova 1129/2b, Přívoz, 702 00 Ostrava, Czech Republic, entered in the Commercial Register kept by the Regional Court in Ostrava (Krajský soud v Ostravě), Section C, Insert 92735, Company ID (IČO) 14044811, EU VAT CZ14044811 (the “Seller”, “we”). Contact: info@casali-energy.com.

§ 2. Who the Website is for

  1. The Website is a B2B wholesale platform. We sell exclusively to businesses: installation companies, distributors, trade resellers and other entities that buy goods in connection with their trade, business or profession.
  2. By creating an account, sending an enquiry or placing an order you declare that you act as a business and not as a consumer. Consumer protection rules, including the right to withdraw from a distance contract, do not apply to contracts concluded through the Website.
  3. We may refuse to open an account, to quote or to accept an order without giving reasons, in particular if you do not confirm your business status (e.g. with an EU VAT number or a company register entry).

§ 3. Electronic services

  1. We provide free of charge: (a) a product catalogue with parameters, data sheets and customer prices, (b) an enquiry form for a quotation including transport, (c) a company account with enquiry and order history, (d) a cart and order placement.
  2. Any device with internet access and a current browser is sufficient. The Website works without JavaScript. A working business e-mail address is required to open an account and to order.
  3. An account is created through the registration form and confirmed by a link sent to the e-mail address provided. You are responsible for actions taken after logging in to your account; do not share your password.
  4. You may ask us to delete your account at any time by writing to info@casali-energy.com. Order data is retained for the period required by tax and accounting law (Part B, § 12, and the Privacy Policy).
  5. It is prohibited to supply unlawful content, to use the forms for spam, to download the catalogue automatically in bulk or to interfere with the operation of the Website.
  6. Complaints about the operation of the Website (not about goods — see § 10) may be sent to info@casali-energy.com; we reply within 14 days.

Part B. General Terms of Sale (GTS)

§ 4. Scope

  1. The GTS apply to every sale of goods by the Seller to a business (the “Buyer”) made through the Website, by e-mail or otherwise, unless the parties have agreed otherwise in writing.
  2. The Buyer’s general terms of purchase do not apply, even if we do not expressly object to them.

§ 5. Prices and product information

  1. Prices on the Website are net prices in euro (EUR), exclusive of VAT and transport, valid for the quantity tiers shown. The price depends on the quantity ordered; the tier applicable to that quantity applies to the order.
  2. Some products carry a minimum order quantity (MOQ) or are sold in full pallets or containers only — this is stated on the product page.
  3. The catalogue and the prices on the Website are not a binding offer but an invitation to place orders. Availability and price are confirmed in our offer (§ 6).
  4. Technical parameters come from the manufacturers’ documentation. The attached data sheet is the manufacturer’s document; where the description on the Website differs from the data sheet, the data sheet prevails.
  5. VAT: for intra-Community supplies to a Buyer with a valid EU VAT number we apply the reverse charge; otherwise VAT is charged according to the applicable rules.

§ 6. Order, offer and conclusion of the contract

  1. The Buyer places an order on the Website (cart) or by e-mail, stating products, quantities, company details, EU VAT number and the delivery address with postcode.
  2. On receipt of the order we check availability and price the transport, then send an offer: items, prices, transport cost and expected delivery time, delivery terms (Incoterms 2020) and the validity date of the offer. Until the offer is accepted the Buyer may change items and quantities; a change after pricing means a new quotation.
  3. The contract is concluded when the Buyer accepts the offer (on the Website with the “Accept” button or by e-mail) within its validity period. After acceptance we issue a proforma invoice.
  4. An offer not accepted within its validity period lapses. Prices and availability after that date are confirmed anew.
  5. The Buyer may withdraw the order free of charge until the offer is accepted. After acceptance, cancellation or change of the order requires our written consent; we may make it conditional on reimbursement of costs incurred (e.g. transport, stock reservation).

§ 7. Payment

  1. Payment is made by bank transfer to the account stated on the proforma invoice. A Buyer with whom no other terms have been agreed in writing pays 100 % of the order value in advance. Terms for regular customers are agreed individually.
  2. Goods are reserved and prepared for dispatch once payment has been credited. The delivery time runs from the day the payment is credited.
  3. If payment is not received by the date stated on the proforma, we may withdraw from the contract or re-confirm price and availability.
  4. Goods remain our property until the full price has been paid (retention of title).
  5. In the event of late payment of an amount subject to terms other than prepayment we charge statutory interest for late payment in commercial transactions and recovery costs in accordance with the law.

§ 8. Delivery

  1. Delivery terms (Incoterms 2020, e.g. DAP, DDP, EXW/FCA), place of delivery, transport cost and expected delivery time are stated in the offer. The delivery time is an estimate, not a guaranteed date, unless the offer states otherwise.
  2. The risk of loss or damage passes to the Buyer in accordance with the agreed Incoterms rule.
  3. The Buyer ensures that unloading is possible at the place of delivery (including of a truck with pallets) on working days. Costs of a failed delivery for reasons on the Buyer’s side (no unloading, wrong address, absence) are borne by the Buyer.
  4. Partial deliveries are permitted where they do not prejudice the Buyer’s legitimate interest; each part is invoiced separately.

§ 9. Receipt of goods and defects

  1. The Buyer inspects the consignment on receipt. Transport damage and quantity shortages must be noted on the transport document (CMR/consignment note) in the driver’s presence, documented with photographs and reported to us at info@casali-energy.com within 2 working days of delivery. A consignment accepted without reservation is deemed delivered undamaged and in full.
  2. Defects that could not be detected on receipt (hidden defects) must be reported without undue delay after discovery, with the order number, serial number of the device, description and photographs.
  3. Rights arising from defects in goods sold between businesses are exercised in accordance with the Czech Civil Code (Act No. 89/2012 Coll.), subject to the notification periods stated above.

§ 10. Manufacturer’s warranty and claims

  1. The goods are covered by the manufacturer’s warranty on the terms and for the period stated in the manufacturer’s documents (warranty card, data sheet). The manufacturer’s warranty is independent of our obligations under § 9.
  2. Claims are submitted to info@casali-energy.com with the order number, model, serial number, description of the fault and photographs or logs. We confirm receipt and inform you of the next steps; faults in electronic devices are as a rule handled by the manufacturer’s service, and we act as intermediary in the claim.
  3. Neither the warranty nor the rights arising from defects cover damage caused by improper installation, use contrary to the manual, interference by unauthorised persons, overvoltage, accidental events or normal wear.
  4. Goods free from defects are not returnable (details: “Withdrawal and returns”).

§ 11. Liability

  1. Our liability for damage resulting from non-performance or improper performance of the contract is limited to the net value of the order concerned. We are not liable for loss of profit, downtime, installation and removal costs or indirect damage.
  2. The limitations in paragraph 1 do not apply to damage caused intentionally or by gross negligence, nor where an exclusion of liability is not permitted by law.
  3. We are not liable for non-performance caused by force majeure (including natural disasters, war, strikes, decisions of public authorities, supply chain interruptions beyond our control). We inform the Buyer without delay and agree a new date or the termination of the contract with a refund of amounts paid.

§ 12. Documents and data

  1. Invoices are issued electronically and made available on the Website or by e-mail, to which the Buyer consents.
  2. Personal data of the Buyer’s contact persons is processed in accordance with the Privacy Policy.

§ 13. Governing law and disputes

  1. Contracts are governed by the law of the Czech Republic, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
  2. Disputes are resolved by the court having jurisdiction over the Seller’s registered office in Ostrava. Before going to court the parties will attempt an amicable settlement.

§ 14. Final provisions

  1. These Terms are available in Polish, English and German. In the event of discrepancies between language versions the English version prevails.
  2. We may amend these Terms for important reasons (changes in law, changes in the scope of the Website’s services). Orders placed before an amendment are governed by the Terms in force on the day the offer was accepted.
  3. If any provision proves invalid, the remaining provisions remain in force and the invalid provision is replaced by one closest to its purpose.
